This MakerCRM Service Schedule (the “Schedule”) is incorporated into and forms part of the MakerHQ Customer Agreement between Customer and Makerflo. Capitalized terms not defined here have the meaning given in the master Agreement. This Schedule applies whenever Customer uses MakerCRM. If a provision of this Schedule conflicts with the master Agreement, this Schedule controls solely with respect to MakerCRM.
1. MakerCRM
MakerCRM is a lead-management and outreach platform. Customer (the “Operator”) creates a workspace, imports or discovers leads, sends outbound email, manages drip sequences, captures inbound replies, and operates a portal through which the Operator’s end customers can browse, customize, and place orders for the Operator’s products. References in this Schedule to “Customer” mean the Operator unless context otherwise requires.
2. Lead Data
“Lead Data” means information about prospective customers of the Operator that the Operator imports into, discovers through, or stores within MakerCRM, including names, business names, postal addresses, phone numbers, email addresses, and any associated metadata.
Customer represents and warrants that, with respect to all Lead Data, Customer has the lawful right to collect, store, and process the data for the purposes for which it is used in MakerCRM, and that the data was obtained in compliance with all Applicable Law, including any consent or notice requirements that apply at the source of the data. Customer is responsible for honoring opt-out requests, do-not-contact requests, and any other rights asserted by leads.
Lead Data accessed through third-party business-data and discovery services is subject to the source’s terms and data-use restrictions. Customer agrees to comply with those restrictions and acknowledges that Makerflo may delete or restrict affected Lead Data when a source or Applicable Law requires it, which may affect Customer’s historical records.
3. End-Customer Data
“End-Customer Data” means personal data about individuals who place orders or otherwise transact through a portal operated by Customer using MakerCRM (the “Portal”). End-Customer Data is treated as a distinct and more sensitive data category than Lead Data and is subject to heightened obligations under applicable consumer-protection and privacy law.
Customer represents and warrants that the Portal experience presented to end customers includes Customer’s own privacy notice and any required terms of sale, and that Customer’s collection and sharing of End-Customer Data with Makerflo is consistent with those notices. Makerflo processes End-Customer Data solely as a service provider to Customer, on Customer’s instructions, and does not use End-Customer Data for independent purposes. The contractual relationship for the underlying transaction is between Customer and the end customer; Makerflo is not a party to that transaction.
4. Outbound Email Compliance
MakerCRM enables Customer to send outbound email messages, drip sequences, and follow-up communications to leads. Customer is solely responsible for the content, targeting, and frequency of all outbound communications and for compliance with all applicable anti-spam, telemarketing, consumer-protection, and privacy laws, including without limitation the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), the California Consumer Privacy Act (CCPA/CPRA), and analogous state and foreign laws.
Without limiting the generality of the foregoing, Customer agrees that all outbound communications sent through MakerCRM will:
- accurately identify the sender and the Operator on whose behalf the message is sent;
- not contain false or misleading header information, subject lines, or content;
- include a functional unsubscribe mechanism and honor unsubscribe requests promptly;
- be sent only to recipients for whom Customer has a lawful basis to contact, including any required prior consent;
- comply with all suppression-list, do-not-call, and similar regulatory requirements; and
- not promote, facilitate, or otherwise relate to any unlawful activity.
Customer agrees to cooperate with Makerflo regarding compliance obligations applicable to communications sent through MakerCRM and to indemnify Makerflo for any liability arising from Customer’s direction of outbound campaigns in violation of Applicable Law.
Makerflo reserves the right, at its sole discretion and without liability, to suspend or rate-limit outbound email from any Customer that, in Makerflo’s reasonable judgment, threatens platform deliverability, sender reputation, or compliance posture, or that has been the subject of a credible complaint of abuse.
5. Inbound Reply Capture
If Customer enables inbound reply capture, Makerflo will receive replies sent by leads to the inbound routing address Customer configures, and surface those replies inside the MakerCRM Master Inbox. Reply content is processed only to associate the reply with the originating lead, classify it (see Section 6 below), and display it to Customer’s Authorized Users. Customer is responsible for ensuring that any disclosure to leads regarding monitoring of replies is consistent with Applicable Law.
6. AI-Generated Content and AI-Assisted Features
MakerCRM may use the MakerHQ assistant and third-party artificial-intelligence services for features such as reply classification, drafting, research, summarization, image analysis, and other supported workflows. The output of these features is “AI Output” under Section 3 of the master Agreement.
Customer acknowledges that AI Output may contain errors, inaccuracies, or inappropriate suggestions and must review it before any business decision or external communication. Customer may use AI Output for its business as described in Section 3.5 of the master Agreement, subject to third-party rights and Customer’s compliance obligations. AI providers are service providers; the categories of data used by these features are described in the MakerHQ Privacy Policy.
7. E-Commerce Integration and Order Processing
Customer may enable order intake and proof-photo workflows through the Portal, including the ability for end customers to upload images, place orders, and approve order details. Customer is responsible for the accuracy of product, pricing, fulfillment, and tax information presented through the Portal, and for the legal obligations associated with selling to end customers, including consumer-protection disclosures, sales-tax collection, and warranty obligations.
Where Customer integrates a payment processor or other third-party service for order fulfillment, Customer is responsible for any fees and obligations imposed by that third party. Makerflo is not a party to any sale between Customer and an end customer.
8. Customer Indemnification
In addition to the indemnification obligations set forth in Section 6 of the master Agreement, Customer shall indemnify, defend, and hold harmless the Makerflo Indemnified Parties from and against any third-party claim, demand, suit, or proceeding (each, a “MakerCRM Claim”) arising from or relating to:
- Customer’s outbound email or other communications, including any allegation that those communications violated the CAN-SPAM Act, TCPA, or any other anti-spam, telemarketing, or consumer-protection law;
- Customer’s collection, use, storage, or sharing of Lead Data or End-Customer Data, including any allegation that the data was obtained or processed in violation of Applicable Law;
- any sale, fulfillment, refund, warranty, or other transaction between Customer and an end customer of Customer’s Portal; and
- any reliance by Customer or its Authorized Users on AI Output without independent review.
9. Service Providers
MakerCRM relies on categories of service providers described in the MakerHQ Privacy Policy. These providers may support communications, business-data discovery, security, customer support, payment and commerce functions, and AI-enabled features. They may process data only as needed to provide those services, subject to applicable contractual and legal obligations.
10. Survival
Sections 2 (Lead Data), 3 (End-Customer Data), 4 (Outbound Email Compliance), 6 (AI-Generated Content) to the extent of Customer’s use of AI Output, and 8 (Customer Indemnification) survive termination of the Subscription Term.
